Distinguish coordination from management
Explain decision-making authority and who performs substantive execution. A project lead may have important responsibilities without meeting the particular immigration standard.
The regulation asks whether the position is primarily managerial, which in practice means the greater part of the transferee's time is spent directing people or an essential function, setting goals, and exercising authority over hiring, discipline and resources. A first review should produce three separate findings: the companies have the required relationship, the employee completed qualifying work abroad in the relevant period, and the proposed position is managerial or executive in substance. Supervising employees who are neither supervisors, professionals nor managers is first-line supervision, which the statute excludes from managerial capacity unless the person manages an essential function of the organization at a senior level. An initial new office need not operate yet, but it requires secured physical premises and evidence addressing the U.S. investment and the foreign entity's financial ability, together with a first-year plan showing that the operation will support managerial or executive work within one year.
